Terms of Service

These terms apply to Today, the uptrend.today planner, on web, iOS, Android, and macOS. Please read them carefully.

1. About Today

Today ("Today", the "App", or the "Service") is a personal planning and productivity application available at https://uptrend.today and as apps for iOS, Android, macOS, and the web. Today is operated by Uptrendsoft AI Labs LLP ("Uptrend", "we", "us", or "our").

These Terms of Service (the "Terms") govern your access to and use of the Service across all platforms. Our Privacy Policy explains how we collect, use, and protect your information and is incorporated into these Terms by reference.

2. Acceptance of Terms

By creating an account, installing the App, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

3. Eligibility

You must be at least 13 years old to use the Service. If you are resident in the European Economic Area, the United Kingdom, or Switzerland, you must be at least 16 years old. If you are resident in India, you must be at least 18 years old. If the laws of your country set a higher minimum age to consent to the processing of your personal data, that higher age applies. By using the Service you represent that you meet the requirement that applies to you.

You may not use the Service if you are prohibited from doing so under applicable law, including sanctions or export control laws.

4. Your Account

You can sign in with an email address and password, or through a third-party identity provider such as Google, Apple, or Facebook (Meta). You agree to:

  • provide accurate and current information and keep it up to date;
  • keep your credentials confidential and not share your account with others;
  • notify us promptly at the contact address below if you suspect unauthorized access to your account.

You are responsible for all activity that occurs through your account. We are not liable for loss arising from unauthorized use of your account that results from your failure to protect your credentials.

You may delete your account at any time from within the App (Profile → Account). Deleting your account removes your data from our systems as described in the Privacy Policy.

5. The Service

Today helps you plan and track your day. Depending on your platform and settings, the Service may include:

  • goals, milestones, tasks, routines, habits, notes, and tags;
  • a calendar view and scheduling tools;
  • an AI assistant that can answer questions, create and update your goals, tasks, routines, and reminders, draft messages, and remember context you choose to share ("Memories");
  • optional connections to third-party accounts such as Google Calendar, Gmail, Microsoft Outlook, and Apple Health (see Section 8);
  • reminders, push notifications, and periodic digests;
  • voice input (speech-to-text) in chat;
  • on the desktop app, the ability to launch and monitor locally installed coding agents (see Section 9);
  • offline access with synchronization across your devices when you are online.

The Service is under active development. We may add, change, limit, or remove features at any time. We do not guarantee that any particular feature will remain available.

6. AI-Generated Content and Recommendations

Parts of the Service use artificial intelligence, including large language models provided by third parties such as OpenAI, to generate text, suggestions, plans, summaries, and actions ("AI Output"). You understand and agree that:

  • AI Output may be wrong. It may be inaccurate, incomplete, outdated, biased, or otherwise unexpected. You should independently verify anything important before relying on it.
  • AI Output is not professional advice. Nothing generated by the Service constitutes medical, mental-health, fitness, nutritional, legal, financial, tax, or other professional advice. Consult a qualified professional for such matters.
  • You are responsible for actions you take. This includes actions the AI assistant performs at your request, such as creating or modifying tasks, scheduling events, setting reminders, or sending emails through a connected account. Review what the assistant proposes before confirming it.
  • No guarantee of outcomes. The Service is a tool to help you organize your goals and habits. We make no promise that using it will produce any particular result.
  • Health data. Where you connect Apple Health, the Service may read step, exercise, sleep, and mindfulness data to display statistics and auto-complete routine steps. This is for informational and motivational purposes only and is not a medical device or diagnostic tool.

Usage limits, rate limits, or model changes may apply to AI features and may change from time to time.

7. User Content

"User Content" means anything you enter into, upload to, or create through the Service, including goals, tasks, notes, routines, chat messages, voice input, Memories, and data imported from connected accounts.

You own your User Content. You grant Uptrend a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, and display your User Content solely as necessary to provide, maintain, secure, and improve the Service for you, including sending relevant portions of it to our AI and infrastructure providers to generate responses you request. This license ends when you delete the content or your account, except where we must retain it to comply with law or where it persists in routine backups for a limited period.

We do not use your User Content to train third-party AI models, and we do not sell it. See the Privacy Policy for details.

You represent that you have all rights necessary to submit your User Content and that it does not violate these Terms or the rights of any third party.

8. Connected Accounts and Third-Party Services

You may choose to connect third-party accounts, such as Google (Calendar and Gmail), Microsoft (Outlook calendar and mail), and Apple Health, to the Service. When you do:

  • You authorize Uptrend to access, read, and (where you grant the relevant permission) create, modify, or send data through that account, only to provide the features you have enabled, for example showing your calendar events, letting the AI assistant read or search your recent mail, or sending an email you have asked it to send.
  • Mail content fetched for the AI assistant is processed on demand and is not stored on our servers.
  • You can disconnect any account at any time from Profile → Integrations, or by revoking access from the third party directly (for example, at myaccount.google.com/permissions).
  • Your use of the third-party service remains subject to that provider's own terms and privacy policy.

Today's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

The Service also relies on third-party infrastructure, including cloud hosting and database providers, AI model providers, authentication providers, push-notification services, analytics services, and the Apple App Store and Google Play. We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Desktop Agent Sessions

The macOS desktop app can launch and display sessions of coding agents that are already installed on your computer (for example, Claude Code or Codex) in a terminal inside the App. You understand and agree that:

  • these agents are third-party software, installed, licensed, and controlled by you, and are subject to their own terms;
  • they run locally on your machine with the permissions of your user account and may read, create, modify, or delete files in the working directory you choose and execute commands;
  • you are solely responsible for what you ask such agents to do and for any changes they make to your files, repositories, or systems;
  • Uptrend does not control, review, or guarantee the behavior or output of these agents, and is not liable for any loss resulting from their use.

10. Acceptable Use

You agree not to, and not to attempt to:

  • use the Service for any unlawful purpose or in violation of any applicable law;
  • harass, threaten, defame, or harm others, or submit content that is hateful, sexually exploitative, or otherwise objectionable;
  • infringe the intellectual property, privacy, or other rights of any person;
  • use connected mail accounts to send spam, phishing, or unsolicited bulk messages;
  • upload or transmit malware or other harmful code;
  • access the Service through automated means (bots, scrapers) except via interfaces we expressly provide;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except where this restriction is prohibited by law;
  • circumvent rate limits, usage limits, authentication, or security measures;
  • use AI features to generate content that violates these Terms or the usage policies of our AI providers;
  • interfere with or disrupt the Service or the servers and networks connected to it;
  • impersonate any person or misrepresent your affiliation;
  • resell, sublicense, or commercially exploit the Service without our written permission.

We may investigate violations and take any action we consider appropriate, including removing content, limiting features, or suspending or terminating your account.

11. Intellectual Property

The Service, including its software, design, user interface, text, graphics, logos, trademarks (including "Today" and "Uptrend"), and all related intellectual property, is owned by Uptrend or its licensors and is protected by applicable laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. User Content is excluded from this Section and remains yours under Section 7.

If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.

12. Fees and Paid Services

The Service is currently offered free of charge. We may introduce paid features, subscriptions, or other paid services in the future. If we do so, applicable pricing, billing frequency, renewal, cancellation, and refund terms will be disclosed to you before you make a purchase, and purchases made through the Apple App Store or Google Play will also be subject to those stores' terms.

13. Service Changes and Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable because of maintenance, updates, outages, third-party failures, or events beyond our control. Some features may be labelled as beta, preview, or experimental and may be changed or withdrawn without notice.

Although the Service supports offline use, synchronization requires a network connection, and data created on one device may not appear on another until both have synced.

14. Suspension and Termination

By you. You may stop using the Service at any time and may delete your account from within the App.

By us. We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, if your use creates risk or legal exposure for us, or if we discontinue the Service. Where practical, we will give you reasonable notice and an opportunity to export your data.

Upon termination, your right to use the Service ends, and we may delete your account and User Content in accordance with the Privacy Policy. Sections that by their nature should survive termination, including Sections 6, 7 (license to content already processed), 9, 11, and 15 through 19, will survive.

15. Disclaimers

THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT DATA WILL NOT BE LOST, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTREND AND ITS PARTNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 5,000.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

17. Indemnification

You agree to indemnify and hold harmless Uptrend and its partners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your User Content, your use of the Service or connected accounts, your use of desktop agent sessions, or your violation of these Terms or of any law or third-party right.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms at https://uptrend.today/terms and updating the "Last updated" date, and where appropriate by notice in the App or by email. Your continued use of the Service after the updated Terms take effect constitutes acceptance. If you do not agree, you must stop using the Service.

19. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Subject to any mandatory consumer-protection rights you may have in your country of residence, the courts located in Gurugram (Gurgaon), Haryana, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before starting formal proceedings, you agree to contact us first so that we can try to resolve the dispute informally within 30 days.

20. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Uptrend regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
  • App store terms. If you downloaded the App from the Apple App Store or Google Play, the store's standard terms (including Apple's Licensed Application End User License Agreement) also apply to your use of the App, and Apple and Google are third-party beneficiaries of these Terms to the extent required by their policies.
